ODLUKU

O PROGLAŠENJU ZAKONA O POTVRĐIVANJU OKVIRNOG UGOVORA O ZAJMU BROJ F/P 1511 (2005) ZA PROJEKT »ISTRAŽIVANJE, OBNOVA I REVITALIZACIJA KULTURNE BAŠTINE ILOK – VUKOVAR –VUČEDOL« IZMEĐU REPUBLIKE HRVATSKE I RAZVOJNE BANKE VIJEĆA EUROPE

Proglašavam Zakon o potvrđivanju Okvirnog ugovora o zajmu broj F/P 1511 (2005) za projekt »Istraživanje, obnova i revitalizacija kulturne baštine Ilok – Vukovar – Vučedol« između Republike Hrvatske i Razvojne banke Vijeća Europe, kojega je Hrvatski sabor donio na sjednici 15. srpnja 2005. godine.

O POTVRĐIVANJU OKVIRNOG UGOVORA O ZAJMU BROJ F/P 1511 (2005) ZA PROJEKT »ISTRAŽIVANJE, OBNOVA I REVITALIZACIJA KULTURNE BAŠTINE ILOK – VUKOVAR – VUEDOL« IZMEU REPUBLIKE HRVATSKE I RAZVOJNE BANKE VIJEA EUROPE

Članak 1.

Potvrđuje se Okvirni ugovor o zajmu broj F/P 1511 (2005) za projekt »Istraživanje, obnova i revitalizacija kulturne baštine Ilok –Vukovar – Vučedol« između Republike Hrvatske i Razvojne banke Vijeća Europe, potpisan u Vukovaru 23. svibnja 2005., u izvorniku na engleskom jeziku.

Članak 2.

Tekst Okvirnog ugovora iz članka 1. ovoga Zakona u izvorniku na engleskom jeziku i u prijevodu na hrvatski jezik glasi:

 

FRAMEWORK LOAN AGREEMENT BETWEEN COUNCIL OF EUROPE DEVELOPMENT BANK AND THE REPUBLIC OF CROATIA

The COUNCIL OF EUROPE DEVELOPMENT BANK, International Organisation, Paris (hereinafter called the CEB), on the one hand,

And

The REPUBLIC OF CROATIA, represented by the Ministry of Finance (hereinafter called the Borrower), on the other hand,

– Having regard to the application submitted by the Member Government of the Republic of Croatia dated 1 February 2005,

– Having regard to the Resolution of the Administrative Council of the CEB: 1480 (2004),

– Having regard to the Third Protocol to the General Agreement on Privileges and Immunities of the Council of Europe,

– Having regard to the articles of the Loan Regulations of the CEB dated November 1999.

HAVE AGREED UPON THE FOLLOWING:

Article 1.

General Conditions

This loan is granted under the general conditions of the current Loan Regulations of the CEB and under the special conditions fixed by this framework loan agreement (hereinafter the Agreement), its appendices and its supplementary agreements (hereinafter the Supplementary Agreements).

Article 2.

The Project

The CEB grants to the Borrower, who accepts, a loan for the partial financing of the F/P 1511 (2005) approved by the CEB’s Administrative Council on 16 March 2005 and concerning the partial financing of a programme of exploration, restoration and rehabilitation of historical and cultural heritage in Ilok, Vukovar and Vučedol (Eastern Slavonia).

This loan is granted by the CEB in consideration of the commitment that the Borrower is making to apply it solely to financing the sector-based project described in Appendix 1 (hereinafter the Project), and to carry out such Project under the conditions which are detailed in said Appendix.

Any change to the way the loan is applied that has not received the CEB’s approval may lead to the suspension, cancellation or immediate repayment of the loan, under the terms of Article 13 of the Loan Regulations.

Article 3.

The Loan

3.1. Financial conditions

The amount of the loan granted is up to the equivalent of:

HRK 169 716 268 – one hundred sixty-nine million seven hundred sixteen thousand two hundred sixty eight kunas. It shall be disbursed in instalments.

For each instalment, the amount, the interest rate, the currency, the disbursement date, the repayment period, and each party’s accounts for remittance, shall be determined jointly by the Borrower and the CEB by fax.

A Supplementary Agreement to the Agreement which specifies the conditions for each instalment shall be drawn up at the time of disbursement substantially in the form set out in Appendix 2.

3.2. Disbursement

The disbursement of the loan, in several installments, shall be made in accordance with the Project’s work progress.

The first disbursement must occur at the latest within 18 months following the approval date of the Project.

The first instalment of up to 25% of the approved loan amount may be disbursed at the start of works. The pending issues for which additional information has been requested at the appraisal stage will have to be fully and satisfactorily resolved prior to disbursement of the 1st instalment.

The following disbursements shall be based on declarations by the Borrower concerning the state of progress (and on forecasts for the progress of works in the current year). A follow-up mission will take place before the 2nd disbursement.

At least 10% of the approved loan amount must be disbursed upon completion of the Project.

3.3. Mobilisation

In order to mobilise the loan instalments, the Borrower shall send to the CEB before each disbursement the attached Promissory Note (Appendix 3) for each instalment.

The Promissory Note is issued and payable in the currency of the instalment paid out.

3.4. Domicile

All the amounts due by the Borrower under this loan are payable in the currency of each instalment to the account number communicated by the CEB to the Borrower at the time of disbursement, with fax notice to be sent to the CEB by the bank instructed by the Borrower with payment, at least five working days before each payment.

3.5. Dates

The provisions of Article 3 are subject to the Modified Following Business Day Convention. Modified Following Business Day Convention means a convention whereby if a specified date would fall on a day which is not a Business Day («Business Day» means a day on which the TARGET System (Trans-European Automated Real-Time Gross Settlement Express Transfer System) is operating1), such date would be the first following day that is a Business Day unless that day falls in the next calendar month, in which case that date would be the first preceding day that is a Business Day.

Article 4.

Monitoring the loan and the Project

4.1.1. Implementation of the Project

The Borrower shall apply all care and diligence, and shall exercise all typically used means, in particular financial, technical, social, and managerial means and those concerning environmental protection, which shall be necessary for the proper implementation of the Project.

Should the costs of the Project increase or be revised for whatever reason, the Borrower shall ensure that the additional financial resources for the completion of the Project are available.

In particular, it shall ensure — before the Project is implemented — that all the financing, land and real property rights which are necessary therefor are available and that all assets and plants are permanently insured and maintained.

The Borrower shall undertake, moreover, that:

– the Project complies with the relevant Council of Europe conventions;

– all sub-projects under the Project will be subject to an environmental impact assessment in accordance with Croatian laws.

– the Project complies with the eligibility criteria specified in Appendix 1;

– partial financing by the CEB does not exceed 75 % of the total cost of the Project, excluding interest and financial charges, such as defined in Appendix 1.

4.1.2. Procurement

Procurements will be carried out in accordance with Public Procurement Act No 01-081-01-3962/2 of 14 Dec 2001 effective since 1 January 2002 or the latest amended Law on public procurement in force at the date of launching the tenders (hereinafter the Procurement Procedures), provided that such legislation and procedures are not in conflict with CEB Procurement Guidelines version III (as attached in Appendix 5).

In case the above Procurement Procedures do not apply, the CEB will recommend to promoters of private sector project, whenever appropriate, the use of competitive bidding procedures, especially for major contracts.

In any case the responsibility for the implementation of the project, and therefore the responsibility for the award and administration of contracts under the project, remains with the final Borrower.

The CEB will not issue any «no-objection» to the procurement arrangements proposed by the Borrower, including contract packaging, applicable procedures, but will reserve the right to proceed to a pre-review or post review of procurement documentation on a sample basis.

4.2. Borrower’s Reports

4.2.1. Project progress reports

At least once a year, from the disbursement of the loan up until the completion of the entire Project, the Borrower shall send to the CEB a report detailing:

– the state of use of the loan;

– the progress of the Project’s financing plan;

– the progress of the Project itself;

– Project management details.

Appendix 4 provides the template specifying the minimum information required by the CEB for progress reports. Alternative formats containing the same information may also be used.

4.2.2. Project completion report

At the completion of the entire Project, the Borrower shall present a final report, containing an appraisal of the Project’s economic, financial, social and environmental effects.

4.3. Information provision to the CEB

The Borrower shall keep accounting records concerning the Project, which shall be in conformity with international standards, which shall show, at any point, the Project’s state of progress, and which shall record all operations made, and identify the assets and services financed with the help of the present loan.

The Borrower undertakes to favourably receive any information missions carried out by employees of the CEB or outside consultants hired by the CEB, and to provide all the necessary co-operation for their information mission, by facilitating any possible visits to the sites of the Project. In particular, the CEB may have an on-site audit of the Project’s accounting carried out by one or more consultants of its choice at the Borrower’s expense in the case of default by the Borrower in respect of any of its obligations under the present loan.

The Borrower undertakes to respond within a reasonable period to any request for information from the CEB and to provide it with any documentation that the CEB should consider necessary and may reasonably request for the proper implementation of the Agreement, particularly as concerns the monitoring of the Project and the use of the loan.

The Borrower shall inform the CEB immediately of any legislative or regulatory change in the economic sector relevant to the Project, and, in a general sense, of any event which may have an influence on the execution of its obligations under the Agreement. Any legislative or regulatory change in the economic sector relevant to the Project, would constitute an event as listed in Article 13-h of Chapter 3 of the Loan Regulations of the CEB and may give rise to the suspension, cancellation or immediate repayment of the loan.

Article 5.

Discharge of the Borrower’s obligations

The payment of the due amount stipulated on the Promissory Note releases the Borrower from its obligations as defined in section 3.1 above.

After the full amount of the principal of this loan, and all interest and other expenses resulting therefrom, in particular those sums under Articles 6 and 7 below, have been duly paid, the Borrower shall be fully released from its obligations towards the CEB, with the exception of those set out in Article 4 above.

Article 6.

Interest for delay

Notwithstanding any other recourse available to the CEB under the present agreement and the Loan Regulations, or otherwise, if the Borrower does not pay all interest or any other amount payable under the Agreement at the latest on the due date specified, the Borrower must pay additional interest on the amount due and not fully paid, at the one-month EURIBOR2 rate for the currency of the late payment as of the due date (if not a TARGET Business Day, the first following working day) at 11 a.m. (local time in Brussels), plus 2.5% per annum, as of the due date of this amount until the date of actual payment.

The applicable one-month EURIBOR rate3 shall be updated every 30 days.

Article 7.

Associated costs

All duties and taxes of all kinds, due and paid, and all expenses resulting either from the conclusion, execution, liquidation, cancellation or suspension of this Agreement, in all or in part, or from the guarantee or refinancing of the loan granted, together with all judicial or extra-judicial deeds having this loan as their origin, shall be borne by the Borrower.

However, the provisions of Article 25 of Chapter 4 of the Loan Regulations of the CEB shall apply regarding the costs of the arbitration procedure mentioned in said Chapter 4.

Article 8.

Securities

The Borrower declares that no other commitment has been made or will be made in the future, which might give a third party a preferential rank, a preferential right of payment, a collateral or guarantee of any nature whatsoever which might confer enhanced rights upon third parties (hereinafter a Security).

If such a Security were nevertheless granted to a third party, the Borrower agrees to form or supply an identical Security in favour of the CEB or, where it is hindered in doing so, an equivalent Security, and to stipulate the formation of such a Security in favour of the CEB.

Failure to comply with these provisions would represent a case of default as laid down in Article 13-h of Chapter 3 of the Loan Regulations of the CEB and may give rise to the suspension, cancellation or immediate repayment of the loan.

Article 9.

Representations and Warranties

The Borrower represents and warrants:  — that its competent bodies have authorized it to make the Agreement and have given the signatories the authorization therefore, in accordance with the laws, decrees, regulations, articles of association, and other texts applicable to it;

— that the drawing up and execution of the Agreement does not contravene the laws, decrees, regulations, articles of association, and other texts applicable to it and that all the permits, licences, and authorizations necessary therefore have been obtained and shall remain valid for the entire loan period.

Any change in relation to the above representations and warranties must, for the entire loan period, be notified to the CEB immediately, and any supporting documents provided.

Article 10.

Relations with third parties

The Borrower may not raise any fact relating, within the scope of the use of the loan, to its relations with third parties in order to avoid fulfilling, either totally or partially, the obligations resulting from the Agreement.

The CEB may not be involved in disputes which might arise between the Borrower and third parties and the costs, whatever their nature, incurred by the CEB due to any challenge, and in particular all legal or court costs, shall be at the expense of the Borrower.

Article 11.

Interpretation of the Agreement

The Borrower states that it has taken note of the Loan Regulations of the CEB, and has received a copy thereof.  Where there is a contradiction between any provision whatsoever of the Loan Regulations of the CEB and any provision whatsoever of the Agreement, the provision of the Agreement shall prevail.

The headings of the paragraphs, sections, and chapters of the Agreement shall not serve for its interpretation.

In no case shall it be presumed that the CEB has tacitly waived any right granted to it by the Agreement.

Article 12.

Applicable law

The Agreement and the negotiable securities relating thereto shall be governed by the rules of the CEB as specified in the provisions of Article 1, paragraph 3, of the Third Protocol dated 6 March 1959 to the General Agreement on Privileges and Immunities of the Council of Europe dated 2 September 1949 and, secondarily, if necessary, by French law.

Disputes between the parties to the Agreement shall be subject to arbitration under the conditions laid down in Chapter 4 of the Loan Regulations of the CEB.

Article 13.

Execution of an arbitration award

The contracting parties agree not to take advantage of any privilege, immunity or legislation before any jurisdictional or other authority, whether domestic or international, in order to object to the enforcement of an award handed down in the conditions laid down in Chapter 4 of the Loan Regulations of the CEB.

Article 14.

Notices

Any notice or other communication to be given or made under this Agreement to CEB or the Borrower shall be in writing and shall be deemed to have been duly given or made when it is delivered by hand, airmail or facsimile by one party to the other at such party’s address specified below.

All communications to be given or made shall be in the English or French language or, if in another language, shall be accompanied by an English or French translation thereof.

Article 15.

Entry into force

The Agreement shall enter into force on the date of receipt by of notification through diplomatic channels by which Republic of Croatia informs Council of Europe Development Bank that the Parliament of the Republic of Croatia has ratified this Framework Loan Agreement.

Article 16.

Copies of Agreement

The Agreement is drawn up in two (2) originals, each of which is equally valid.

One original is kept by each of the contracting parties.

III.

Eligibility criteria:

The CEB can finance restructuring and rehabilitation projects solely in the case of historic and cultural heritage sites classified by UNESCO or by the country concerned.

 

 

 

IV.

Social effects:

Restoration and preservation of the natural and historical heritage in Ilok and Vukovar and at the archaeological site of Vučedol will, besides the visual enhancement, also contribute to the development of the region and to the reinforcement of social cohesion thanks to manifold spillover effects on economic activity, employment and tourism.
Moreover, the scientific research and cultural events envisaged are aimed not only at attracting foreign visitors but also at encouraging the local population to participate in the economic and cultural development of a multi-cultural community.

 

OKVIRNI UGOVOR O ZAJMU IZMEĐURAZVOJNE BANKE VIJEĆA EUROPEI REPUBLIKE HRVATSKE

RAZVOJNA BANKA VIJEĆA EUROPE, međunarodna organizacija, Pariz (dalje u tekstu: CEB), s jedne strane,

i

REPUBLIKA HRVATSKA, koju predstavlja Ministarstvo financija (dalje u tekstu: Zajmoprimac), s druge strane,

– na temelju podnesene molbe predstavnika Vlade Republike Hrvatske od 1. veljače 2005.

– na temelju Rezolucije Administrativnog vijeća CEB-a: 1480 (2004)

– na temelju Trećeg protokola uz Opći sporazum o povlasticama i imunitetima Vijeća Europe

– na temelju članaka Pravila o zajmovima CEB-a od studenoga 1999.

USUGLASILE SU SE OKO SLJEDEĆEG:

Članak 1.

Opći uvjeti

Ovaj zajam dodjeljuje se u skladu s općim uvjetima važećih CEB-ovih Pravila o zajmovima i posebnim uvjetima utvrđenima ovim okvirnim ugovorom o zajmu (dalje u tekstu: Ugovor) te njegovim dodacima i njegovim dodatnim ugovorima (dalje u tekstu: Dodatni ugovori).

Članak 2.

Projekt

CEB daje Zajmoprimcu, a potonji prihvaća, zajam za djelomično financiranje F/P 1511 (2005) koji je odobrilo Administrativno vijeće CEB-a 16. ožujka 2005., a odnosi se na djelomično financiranje programa istraživanja, obnove i revitalizacije povijesne i kulturne baštine Iloka, Vukovara i Vučedola (istočna Slavonija).

CEB daje ovaj zajam na temelju preuzete obveze Zajmoprimca da će sredstva zajma koristiti isključivo za financiranje projekta opisanog u Dodatku 1 (dalje u tekstu: Projekt) te da će Projekt izvršavati u skladu s uvjetima potanko navedenima u rečenom Dodatku.

Svaka promjena u načinu korištenja zajma koju CEB nije odobrio može dovesti do obustave, otkazivanja ili zahtjeva za trenutačnom otplatom zajma, a prema uvjetima navedenima u članku 13. Pravila o zajmovima.

Članak 3.

Zajam

3.1. Financijski uvjeti

Vrijednost odobrenog zajma je do visine iznosa:

169.716.268,00 HRK (stošezdesetdevetmilijunasedamstošesnaest tisućadvjestošezdesetiosam kuna), a isplatit će se u ratama.

Za svaku će ratu Zajmoprimac i CEB zajednički odrediti preko faksa iznos, kamatnu stopu, valutu, datum isplate, razdoblje otplate, te za svaku stranku broj računa na koji će se isplaćivati rate zajma.

Kao dopuna ovom Ugovoru, za svaku će se ratu zajma, i to u trenutku njezine isplate, sklopiti Dodatni ugovor u kojem će biti navedene potankosti isplate određene u Dodatku 2.

3.2. Isplata zajma

Isplata zajma izvršit će se u više rata, u skladu s napretkom radova na Projektu.

Prva isplata mora se izvršiti najkasnije 18 mjeseci od datuma kada je Projekt odobren.

Prva rata u iznosu do 25% ukupnoga zajma može biti isplaćena na početku radova. Prije isplate prve rate morat će se potpuno i na zadovoljavajući način odgovoriti na neriješena pitanja postavljena za vrijeme ocjene Projekta.

Sljedeće isplate temeljit će se na izjavi Zajmoprimca, uzimajući u obzir izvješće o napretku (i o predviđenom napretku radova u tekućoj godini). Prije druge isplate misija će izvršiti nadzor.

Najmanje 10% odobrenog iznosa zajma mora biti povučeno nakon završetka Projekta.

3.3. Mobilizacija

Da bi se mobilizirale rate zajma, Zajmoprimac će prije svake isplate poslati CEB-u mjenicu (Dodatak 3) za svaku ratu zajma.

Mjenica se izdaje i plaća u valuti rate zajma.

3.4. Domicil

Svi iznosi koje Zajmoprimac treba otplatiti slijedom ovoga zajma, isplatit će se CEB-u u valuti svake od rata zajma na broj računa koji CEB naznači Zajmoprimcu u vrijeme isplate svake od rata, a banka koju Zajmoprimac zaduži za isplatu mora CEB-u faksom poslati obavijest najmanje pet radnih dana prije svake isplate.

3.5. Datumi

Odredbe članka 3. podliježu Konvenciji o izmijenjenom sljedećem radnom danu. Konvencija o izmijenjenom sljedećem radnom danu predstavlja dogovor o tome da ako određeni radni dan pada na dan koji nije radni dan (»radni dan« znači dan na koji radi1 TARGET sustav – Trans-European Automated Real-Time Gross Settlement Express Transfer), tada će se taj datum pomaknuti na prvi sljedeći dan koji je radni dan. Ako taj dan pada u sljedeći kalendarski mjesec, taj će datum biti prvi prethodni radni dan.

Članak 4.

Praćenje zajma i Projekta

4.1.1. Provedba Projekta

Zajmoprimac će, putem Ministarstva kulture, s pažnjom i sa svim potrebnim naporima provoditi Projekt i primijeniti sva uobičajeno korištena sredstva, napose financijska, tehnička, socijalna i upravljačka, te ona vezana za zaštitu okoliša, koja su potrebna za primjerenu provedbu Projekta.

Ako se troškovi Projekta povećaju ili se bilo iz kojega razloga promijene, Zajmoprimac će osigurati dodatne financijske izvore potrebne za završetak Projekta.

Pritom će se pobrinuti da prije provedbe Projekta dobije na raspolaganje sva potrebna prava koja se odnose na financiranje, zemljište i nekretnine, te da se sva imovina i svi objekti trajno osiguraju i održavaju.

Osim toga, Zajmoprimac preuzima obvezu:

– da će Projekt biti u skladu sa svim relevantnim konvencijama Vijeća Europe,

– da će svi potprojekti biti predmetom ocjene utjecaja na okoliš u skladu s hrvatskim zakonima,

– da će Projekt udovoljavati uvjetima specificiranim u Dodatku 1,

– da djelomično financiranje CEB-a neće premašiti 75% ukupnih troškova Projekta, ne računajući kamate i financijske naknade, kao što je definirano u Dodatku 1.

4.1.2. Nabava

Nabava će se izvršiti prema Zakonu o javnoj nabavi, broj 01-081-01-3962/2 od 14. prosinca 2001., koji je stupio na snagu 1. siječnja 2002., ili prema posljednjim izmjenama i dopunama Zakona o javnoj nabavi koji je na snazi na datum kada je započelo prikupljanje ponuda (dalje u tekstu: Postupci nabave), pod uvjetom da navedeni zakoni nisu suprotnosti s CEB-ovim Smjernicama za nabavu, verzija III (vidi Dodatak 5).

U slučaju da se navedeni Postupci nabave ne primjenjuju, CEB će preporučiti da izvođači projekata u privatnom sektoru, kada god je to moguće, koriste konkurentne postupke nabave, posebice za velike ugovore.

Odgovornost za provedbu Projekta, stoga i odgovornost za dodjeljivanje i vođenje ugovora, u svakom slučaju leži na Zajmoprimcu.

CEB neće izdavati dozvole za one ponude koje je predložio i prihvatio Zajmoprimac, uključujući ugovorni paket i postupke koji se primjenjuju, ali pridržava pravo prethodnih ili naknadnih pregleda nabavne dokumentacije na temelju uzorka.

4.2. Izvješća Zajmoprimca

4.2.1. Izvješća o napretku projekta

Najmanje jednom godišnje, od isplate zajma pa do dovršenja cjelokupnoga Projekta, Zajmoprimac će CEB-u slati izvješća:

– o stanju korištenja zajma,

– o napretku Projekta prema financijskom planu,

– o napretku samog Projekta,

– o potankostima upravljanja Projektom.

U Dodatku 4 prikazana je shema s obveznim, minimalnim podacima koje mora sadržavati Izvješće o napretku Projekta. Alternativni format koji sadržava iste podatke također se može koristiti pri izvješćivanju.

4.2.2. Izvješće o dovršenju projekta

Nakon dovršenja cjelokupnoga Projekta, Zajmoprimac će predočiti konačno izvješće s procjenom ekonomskih, financijskih i socijalnih učinaka te utjecaja na okoliš.

4.3. Pružanje informacija CEB-u

Računovodstvena evidencija Zajmoprimca koja se odnosi na Projekt mora biti u skladu s međunarodnim standardima i u svakom trenutku mora prikazivati stanje napretka Projekta, te u njoj moraju biti zabilježeni svi postupci i identificirana imovina i usluge koje se financiraju uz pomoć ovoga zajma.

Zajmoprimac se obvezuje da će susretljivo prihvatiti svaki opravdani posjet zaposlenika CEB-a ili od CEB-a angažiranih vanjskih konzultanata, a u vezi s prikupljanjem podataka, da će pružiti svu potrebnu podršku i suradnju njihovoj informativnoj misiji, te da će olakšati moguć posjet mjestima izvršenja Projekta. To se napose odnosi na reviziju računovodstvene evidencije projekta na licu mjesta, koju bi CEB mogao izvršiti preko jednog ili više konzultanata po svom izboru i na trošak Zajmoprimca u slučaju da Zajmoprimac ne izvršava bilo koju od svojih obveza slijedom ovoga zajma.

Zajmoprimac preuzima obvezu da će u razumnom roku odgovoriti na svaki CEB-ov zahtjev za pružanjem informacija i da će CEB-u podastrijeti svu dokumentaciju koju CEB smatra potrebnom za valjanu provedbu ovoga Ugovora, a napose onu koja se odnosi na praćenje projekta i korištenje sredstava zajma.

Zajmoprimac će odmah obavijestiti CEB o svakoj zakonskoj ili regulatornoj promjeni u gospodarskom sektoru koja je relevantna za Projekt, odnosno općenito o svim događajima koji bi mogli utjecati na izvršenje njegovih obveza slijedom Ugovora. Svaka zakonska ili regulatorna promjena u gospodarskom sektoru relevantna za Projekt predstavlja događaj kako je navedeno u članku 13. (h) Poglavlja 3. Pravila o zajmovima CEB-a i može biti podlogom za obustavu, poništenje ili trenutačnu obvezu otplate zajma.

Članak 5.

Prestanak obveza Zajmoprimca

Plaćanje dospjelog iznosa navedenog na mjenici oslobađa Zajmoprimca od njegovih obveza definiranih u članku 3.1.

Pošto se u cijelosti valjano otplati puni iznos glavnice ovoga zajma, te sve kamate i ostali troškovi koji iz njega proizlaze, a napose oni iznosi navedeni u članku 6. i 7. ovoga Ugovora, Zajmoprimac će u potpunosti biti oslobođen od svih obveza prema CEB-u, s iznimkom onih navedenih u članku 4.

Članak 6.

Zatezne kamate

Bez obzira na druge protumjere koje su CEB-u na raspolaganju slijedom ovoga Ugovora, Pravila o zajmovima ili na drugi način, ako Zajmoprimac ne plati sveukupan iznos kamata, ili neki drugi iznos koji dospijeva na plaćanje slijedom ovoga Ugovora, najkasnije do navedenoga datuma dospijeća, Zajmoprimac mora platiti dodatne kamate na dospjeli iznos koji nije u cijelosti plaćen, i to na temelju jednomjesečne EURIBOR2 stope za valutu zakašnjeloga plaćanja koja vrijedi na datum dospijeća (ako to nije radni dan na koji radi TARGET sustav, onda na prvi sljedeći radni dan), u 11 sati ujutro (po briselskom vremenu), plus 2,5% godišnje, za razdoblje od datuma dospijeća navedenog iznosa do datuma stvarnog plaćanja.

Primjenjiva jednomjesečna EURIBOR3 stopa ažurirat će se svakih 30 dana.

Članak 7.

Povezani troškovi

Zajmoprimac snosi sve carinske troškove i poreze svih vrsta, dospjele i plaćene, te sve troškove koji su rezultat sklapanja, izvršenja, likvidacije, poništenja ili obustave ovoga Ugovora, u cijelosti ili djelomično, ili su rezultat davanja jamstva, te refinanciranja danoga zajma, zajedno sa svim sudskim i drugim troškovima koje potječu iz ovoga Ugovora.

Što se tiče troškova arbitražnog postupka, primjenjuju se odredbe navedene u članku 25. Poglavlja 4. Pravila o zajmovima CEB-a.

Članak 8.

Instrumenti osiguranja

Zajmoprimac izjavljuje da nije preuzeo, niti će u budućnosti preuzeti obveze koje bi nekoj trećoj stranci mogle dati povlašteni položaj, povlašteno pravo na plaćanje, dodatno osiguranje ili jamstvo bilo koje prirode, što bi moglo rezultirati većim pravima trećih stranaka (dalje u tekstu: instrument osiguranja).

Ako bi se ipak trećoj stranci dao takav instrument osiguranja, Zajmoprimac je suglasan da će uspostaviti ili pružiti isti takav instrument osiguranja u korist CEB-a ili, ako postoje prepreke za takav postupak, jednakovrijedan instrument osiguranja, te da će odrediti uspostavu takva instrumenta osiguranja u korist CEB-a.

Ako se ne ispune ove odredbe, to će značiti kršenje ugovornih odredaba kako je navedeno u članku 13. (h) Poglavlja 3. CEB-ovih Pravila o zajmovima i može biti podloga za obustavu, ili poništenje zajma, odnosno trenutačnu obvezu otplate zajma.

Članak 9.

Izjave i jamstva

Zajmoprimac izjavljuje i jamči:

– da su ga njegova mjerodavna tijela ovlastila za sklapanje Ugovora i u tu svrhu ovlastila potpisnika/potpisnike, a u skladu sa zakonima, uredbama, odredbama, statutima i ostalim propisima,

– da sklapanje i izvršenje ovoga Ugovora nije u suprotnosti sa zakonima, uredbama, odredbama, statutima i ostalim propisima, te da su dobivene sve potrebne dozvole, odobrenja i ovlasti koje ostaju na snazi tijekom cijeloga razdoblja zajma.

Tijekom cijeloga trajanja zajma Zajmoprimac je obvezan odmah obavijestiti CEB u slučaju bilo kakvih promjena vezanih uz navedene izjave i jamstva, te pružiti svu popratnu dokumentaciju.

Članak 10.

Odnosi s trećim strankama

Zajmoprimac se ne može pozvati ni na kakvu činjenicu koja se, u okviru opsega korištenja ovoga zajma, odnosi na odnose s trećim strankama, u namjeri da izbjegne ispunjenje, cjelokupno ili djelomično, obveza koje proistječu iz Ugovora.

CEB ne može biti uključen u sporove koji možebitno nastanu između Zajmoprimca i trećih stranaka, a troškove, bez obzira na njihovu prirodu, koje pretrpi CEB zbog bilo kakva spora, a napose se to odnosi na sve pravne i sudske troškove, snosit će Zajmoprimac.

Članak 11.

Tumačenje Ugovora

Zajmoprimac izjavljuje da je upoznat s CEB-ovim Pravilima o zajmovima te da je primio primjerak Pravila.

U slučaju proturječnosti između bilo koje odredbe CEB-ovih Pravila o zajmovima i bilo koje odredbe iz ovoga Ugovora, primjenjivat će se odredba iz ovoga Ugovora.

Naslovi članaka, stavaka i odjeljaka Ugovora ne koriste se u svrhu njihova tumačenja.

Ni u kojem se slučaju ne smije pretpostaviti da se CEB prešutno odriče kojeg od prava koja ima slijedom ovoga Ugovora.

Članak 12.

Mjerodavno pravo

Ugovor i svi instrumenti osiguranja koji se na njega odnose, a koji su predmet pregovora, podliježu pravilima CEB-a kako je navedeno u odredbama članka 1. stavka 3. Trećeg protokola uz Opći sporazum o povlasticama i imunitetima Vijeća Europe od 6. ožujka 1959., koji je dopuna Općem sporazumu o povlasticama i imunitetima Vijeća Europe od 2. rujna 1949. godine, te ako je potrebno, francuskom pravu.

Sporovi između ugovornih stranaka podliježu arbitraži u skladu s uvjetima navedenima u Poglavlju 4. Pravila o zajmovima CEB-a.

Članak 13.

Ovrha arbitražnog pravorijeka

Ugovorne stranke suglasne su da ne će koristiti nikakve povlastice, imunitet ili zakonsko pravo pred bilo kojim sudbenim ili kakvim drugim ovlaštenim tijelom, domaćim ili međunarodnim, a u cilju suprotstavljanja provedbi pravorijeka presude donesene u skladu s uvjetima utvrđenima u Poglavlju 4. Pravila o zajmovima CEB-a.

Članak 14.

Primjedbe

Sve primjedbe ili druga priopćenja dana ili učinjena temeljem ovoga Ugovora CEB-u ili Zajmoprimcu bit će u pisanom obliku i smatrat će se da su propisno dana ili učinjena ukoliko su dostavljena dostavom, poštom ili faksom od jedne stranke drugoj stranci na sljedećoj, dolje navedenoj adresi:

Članak 15.

Stupanje na snagu

Ovaj Ugovor stupa na snagu na dan primitka obavijesti diplomatskim putem kojom Republika Hrvatska obavještava Razvojnu banku Vijeća Europe da je Hrvatski sabor potvrdio ovaj Okvirni ugovor o zajmu.

Primjerci ugovora

Ugovor je sastavljen u dva (2) izvornika, od kojih je svaki jednako vjerodostojan.

Svaka ugovorna stranka zadržava po jedan izvornik Ugovora.

Očekivani socijalni učinci:

Obnova i zaštita prirodne i povijesne baštine u Iloku i Vukovaru te arheoloških nalazišta u Vučedolu pridonijet će, osim u vizualnom smislu, razvoju regije i jačanju društvene kohezije, a »efekt prelijevanja« utjecat će na gospodarsku aktivnost, zapošljavanje i turizam.
Povrh toga, zamišljeno je da znanstvena istraživanja i kulturna događanja privuku ne samo strane posjetioce, već da i lokalno stanovništvo sudjeluje u gospodarskom i kulturnom razvoju multikulturalne zajednice.
